This is the place we break down what you’re allowed, and not allowed to do with the website and software created by SessionFox, LLC. The following text outlines the terms of use of the SessionFox website and delivered software. You can also review our Privacy Policy, which outlines our practices towards handling any personal information that you may provide to us.

Acceptance of Terms
The contract below outlines the SessionFox terms of service (“the Agreement”). By creating an account, downloading, installing, or using SessionFox products and services (“the Services”) you agree and acknowledge that you have read and accept this Agreement in its entirety, and agree to be bound by its terms. These terms of service apply to all users of the Services, including both users with free and paid accounts.

SessionFox, LLC (“SessionFox”, “we,” “our,” or “us”) reserves the right, at its sole discretion, to modify or replace the terms of this Agreement at any time. If the alterations constitute a material change, SessionFox will notify you by posting an announcement on the SessionFox website. What constitutes a material change will be determined at the sole discretion SessionFox. You shall be responsible for reviewing and becoming familiar with any such modifications. Using our Services following notification of a material change to this Agreement shall constitute your acceptance of the Agreement as modified.

1. Privacy Policy
As a provider of an cloud-hosted service, we require users to provide certain information when registering to receive our Services. All information provided by Users is collected, used, maintained, shared and destroyed in accordance with our Privacy Policy and incorporated into this Agreement by reference.

2. License
SessionFox grants you a non-exclusive, non-transferable right to use the service solely for your internal institutional operations. SessionFox owns all rights to everything connected to the service that we haven’t explicitly granted you permission to use. Administrative access to the admin portal and software is strictly restricted to personnel employed or authorized by your organization.

If you are an institutional Subscriber (such as a public library system, school district, or municipality), your license permits you to deploy the SessionFox desktop/kiosk client software on physical hardware endpoints for use by your authorized staff and public patrons (“End Users”), subject to these same terms.

You agree that you will not sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Services in any way outside of your designated physical facilities or authorized networks.

You may use the service only for the explicitly licensed purposes and promise not to, and ensure your personnel do not:

3. Services and Availability
SessionFox provides the Services “AS IS”, as available, with all faults, without representation or warranty of any kind. SessionFox does not guarantee the continuous, uninterrupted availability of the software, the administrative dashboard, or any specific local terminal client feature(s).

SessionFox reserves the right to modify the Services, deploy software updates, impose usage or license seat limits, or temporarily suspend access for maintenance at our sole discretion. Because SessionFox interfaces directly with your organization’s local hardware, networks, and operating systems, we do not guarantee that the software will prevent all unauthorized local computer access, nor do we guarantee the absolute security, accuracy, or timeliness of local session logs; log data losses, syncing errors, delays, or omissions may occur.

The uptime, connection speed, and operational quality of individual client server instances may vary. The Service is subject to temporary unavailability due to emergencies, scheduled system maintenance, local hardware or network failures within your facility, power outages, or third-party hosting infrastructure failures (including cloud provider and merchant-of-record service disruptions). Local software execution may be interrupted, limited, or curtailed if client accounts exceed their designated license seat counts or fail automated transaction renewals.

4. User and Organization Responsibilities
To utilize the Services, you must provide the necessary local computer hardware, operating systems, and network infrastructure (“Devices”) required to run our client workstation software. It is your sole responsibility to ensure all public terminals and administration devices meet our minimum system compatibility requirements and are kept properly updated.

You are entirely responsible for maintaining the security and confidentiality of your SessionFox administrative credentials and server access keys. You agree to assume full responsibility for all activities, session configurations, and user accounts managed under your client server instance.

You agree that the Services shall be used only for lawful purposes in compliance with all applicable local, state, national, and international laws, regulations, and library policies. You explicitly agree not to:

Deploy the SessionFox client software to more physical computer terminals than permitted by your active paid seat license count.

Reverse engineer, decompile, modify, or attempt to extract the source code of the SessionFox client or server infrastructure.

Use any third-party software, scripts, or malicious exploits to interfere with, disrupt, or bypass security features put in place by SessionFox.

Utilize SessionFox to intentionally violate patron privacy laws or fail to clear user sessions in accordance with local or federal data privacy laws.

Take any action that imposes an unreasonable or disproportionately large load on our cloud hosting infrastructure or automated licensing systems.

You agree to obey all applicable data privacy and technical regulations in connection with your utilization of the software, including local laws regarding public internet station monitoring and technical data transmission. If SessionFox is notified of a legal complaint or systemic abuse connected to your specific software instance, SessionFox reserves the right to review the usage parameters, suspend the instance, or terminate your account and licensing agreement without notice if a violation of these terms is determined.

The software and its related technical data may be subject to export controls under U.S. and local laws. You agree that you will not permit access or use of the software to any restricted individual, entity, or country in violation of applicable export control laws or sanctions. If we receive notice that an organization or account holder is or becomes identified as a sanctioned or restricted party under applicable law, SessionFox is not obligated to perform any obligations under these terms.

5. Trademarks
SessionFox graphics, logos, designs, page headers, button icons, scripts, and service names are trademarks, trademarks or trade dress of SessionFox, LLC. The SessionFox trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SessionFox. SessionFox images and icons may be used by third party sites in connection with providing appropriate links to the SessionFox website.

6. Service Suspension & Termination
You agree that SessionFox, for any or no reason, and without penalty, may discontinue in whole or in part, cancel or suspend your use of the Service at any time, with or without notice.

7. Cancellation & Refund Policy
Unless you are eligible for a Money-Back Guarantee set out above/below, all amounts paid are non-refundable. SessionFox may consider in its discretion and on a case-by-case basis certain refund requests for subscriptions.

8. Disclaimer of Warranties
SessionFox makes no representation, warranty, or guarantee as to the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the Services. SessionFox does not represent or warrant that:

9. Limitation of Liability
In no event shall SessionFox be liable under contract, tort, strict liability, negligence or any other legal theory with respect to the services for any lost profits or Special, indirect, incidental, punitive, or consequential damages of any kind whatsoever. Notwithstanding the foregoing, in no event shall the total liability of SessionFox, for all damages, losses and causes of action whether in contract, tort including negligence, or otherwise, exceed the aggregate dollar amount paid by the User claimant to SessionFox in the twelve months prior to the claimed loss, damages or other such alleged event giving rise to the basis of claim.

Our maximum cost is the fees you have paid unless applicable law states otherwise.

10. Indemnity
You hereby agree to indemnify and hold harmless SessionFox, its affiliated and associated companies, and their respective directors, officers, employees, agents, representatives, independent and dependent contractors, licensees, successors and assigns from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, consequential, exemplary and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of:
